Ann Watterworth
Ann is a partner in the Business Law Group. She has a corporate practice with an emphasis on mergers and acquisitions. She has negotiated and implemented asset and share purchase transactions, joint ventures and other commercial arrangements for clients ranging from entrepreneurs and family-owned business to international corporations and provides ongoing commercial advice on a variety of matters including confidentiality agreements, licensing and distribution agreements, shareholders’ agreements, and corporate compliance. She frequently advises in connection with corporate structuring, raising capital and new ventures.
A few of Ann’s notable projects include:
- Acquisition counsel to Goldcorp Ltd. in connection with its purchase from Barrick Gold Corporation of Placer Dome’s Canadian Assets;
- Counsel to the Kodiak Group of companies in connection with the acquisition of Terra Footwear;
- Counsel to Veris Health Sciences Inc. in establishing its clinics in Canada and Europe relating to the treatment of macular degeneration;
- Counsel to Tri Tec Industries Limited in connection with an investment by CCFL;
- Acquisition counsel on behalf of Amtelecom Income Fund in connection with the formation of an income fund through the acquisition of all of the issued and outstanding shares of Amtelecom Inc. and AGI Cablevision Inc.;
- Counsel to the Baxter Group of Companies in connection with various acquisitions and divestitures including the negotiation of its joint venture with Sabex Inc., its purchase of the anaesthesia business from Zeneca Pharma Inc. and the spin off of the cardiovascular division to Edwards Lifesciences; and
- Counsel to the Canadian Blood Services in the acquisition of the blood assets from the Canadian Red Cross Society.
Ann frequently speaks and writes on a variety of corporate topics, including entrepreneurship, mergers and acquisitions and directors’ and officers’ liability. Ann is involved in many areas of community endeavour including acting as co-chair of the CWF 100 Committee for the Canadian Women’s Foundation, as a director of the Organization of Women in International Trade – Ontario and as a director of the Association for Corporate Growth (ACG).
She is the author of the cross-border mergers and acquisitions chapter for the Carswell’s Canada-US Commercial Law Guide.
