Jennifer Traub

As a partner in the Securities Group, Jennifer represents both issuers and investment dealers in connection with public and private securities offerings, mergers and acquisitions and other financing transactions.  She has particular expertise and experience in the resource sector and has played an integral role in managing some of the largest and most complex corporate finance and M&A deals in the mining industry in Canada.

In addition to transactional work, Jennifer regularly advises public companies regarding general corporate and securities law matters, including continuous disclosure, corporate governance and Canadian stock exchange issues.  

Jennifer also chairs the Cassels Brock Women's Practice Development Committee and co-chairs the Cassels Brock Women in Mining.

Corporate Finance

  • Goldcorp Inc. in its US$1.6 billion secondary offering of Silver Wheaton shares, the largest bought deal ever done in Canada.
  • Goldcorp in its US$862.5 million convertible debt offering.
  • Silver Wheaton Corp. in its $287.5 million bought deal equity offering.
  • Thompson Creek Metals Company Inc. in its $235 million bought deal equity offering.
  • FNX Mining Company Inc. in its $144 million bought deal equity offering.
  • Gold Wheaton Gold Corp. in its $260 million private placement to fund its first streaming agreement with FNX Mining.
  • Sandstorm Resources Ltd. in its $46.8 million prospectus offering to fund its first two streaming agreements with Luna Gold and SilverCrest and further prospectus offering of $36.8 million.
  • Goldcorp and Silver Wheaton in their early warrant exercise incentive transactions, raising US$450 million and $120 million, respectively.
  • Stonegate Agricom Ltd. in its $50 million initial public offering.
  • Macquarie Capital Markets Canada Ltd. as underwriter for Quadra Mining in three financings aggregating $432.5 million.
  • BMO Capital Markets as underwriter for Andina Minerals in three financings aggregating $70 million.
  • Paradigm Capital Inc. as agent for Marengo Mining Limited (Australian company) in its initial public offering in Canada, raising an aggregate of $50 million over three financings.

Mergers and Acquisitions

  • The recipient of LEXPERT’s 2008 Canadian Deal Makers Mining Award, Goldcorp in its $1.5 billion acquisition of Gold Eagle Mines.
  • Goldcorp in its $250 million acquisition of Canplats Resources.
  • Goldcorp in its US$10 billion business combination with Glamis Gold.
  • Goldcorp in its US$1.6 billion acquisition of certain mining assets and interests of Placer Dome from Barrick Gold.
  • Goldcorp in its US$420 million acquisition of the Éléonore gold project and spin off of Virginia Gold Mines for US$420 million.
  • Silver Wheaton in its $190 million acquisition of Silverstone Resources.
  • New Gold Inc. in its $1.2 billion business combination with Western Goldfields.
  • Peak Gold Ltd. (now New Gold) in its US$1.6 billion three-way merger with New Gold and Metallica Resources.
  • Thompson Creek (formerly Blue Pearl Mining) in its US$575 million acquisition of the private company Thompson Creek Metals.
